Terms of Service
The rules for working together: scope, payment, responsibilities and what you can expect from me.
1. Agreement
These Terms of Service ("Terms") govern your use of digitalmarketingplans.com (the "Website") and any services provided by DMP ("I", "me", "my") to you or your business ("Client", "you"). By engaging my services, approving a proposal, or paying an invoice, you agree to these Terms.
2. Services
I provide digital marketing, lead generation, sales development and AI automation services on a remote basis, including but not limited to local SEO and Google Business Profile optimization, reputation and review management, SEO, social media marketing, paid advertising management, email marketing, content marketing, prospect research, outreach, cold calling, CRM management, and workflow and AI automation. The specific services for each engagement are described in a written proposal or invoice.
3. Proposals and scope
Before work begins I will send a written proposal or quote describing the scope, deliverables, timeline and price. Work starts once you approve the proposal and any required initial payment has been received. Work outside the agreed scope requires a new or updated proposal.
4. Fees and payment
- Fees are stated in the proposal or invoice. Unless stated otherwise, amounts are in US dollars.
- One-time projects are invoiced as agreed in the proposal, typically in full or in milestones before work begins.
- Monthly retainers are invoiced in advance for each billing period.
- Invoices are due on the date stated on the invoice. I may pause work on accounts with overdue invoices.
- Advertising spend paid to third-party platforms (for example Google or Meta) and third-party software subscriptions are separate from my fees and are billed to you directly by those providers unless agreed otherwise in writing.
- You are responsible for any taxes or bank and payment-processing fees that apply to your payments.
5. Client responsibilities
You agree to provide accurate information, timely feedback, and access to the accounts, tools and materials I reasonably need to deliver the services (for example ad accounts, analytics, your website or CRM). Delays in providing these may delay delivery. You confirm that you own or have the right to use all materials you provide, and that your products, services and marketing claims are lawful and truthful.
6. Third-party platforms
My services rely on third-party platforms such as search engines, social networks, advertising networks and software tools. These platforms set their own rules and may change their algorithms, policies, pricing or availability, or suspend accounts, without notice. I am not responsible for the actions of third-party platforms.
7. No guarantee of results
I will perform the services with professional care and skill. However, marketing and sales outcomes depend on many factors outside my control, including your market, offer, pricing, budget and the platforms used. I do not guarantee specific rankings, traffic, leads, sales, revenue or return on investment.
8. Intellectual property
Upon full payment, you own the final deliverables created specifically for you (such as written content, ad creative and reports). I retain ownership of my pre-existing tools, templates, processes and know-how, and may reuse general knowledge and methods gained in the course of the work. I may mention that I have worked with you unless you ask me not to.
9. Confidentiality and data
I will keep your non-public business information and account access confidential and use it only to deliver the services. This does not apply to information that is public, already known to me, or required to be disclosed by law. Please see the Privacy Policy for how personal data is handled.
10. Revisions
Each proposal states the number of revisions included, where relevant. Additional revisions or changes in direction may be quoted separately.
11. Cancellation and termination
Either party may end an engagement by written notice. Monthly retainers can be cancelled before the start of the next billing period. Fees for work already completed, and for third-party costs already incurred, remain payable. Refunds are handled under the Refund Policy. I may end an engagement immediately if you breach these Terms or if continuing would require unlawful or misleading activity.
12. Limitation of liability
To the fullest extent permitted by law, I am not liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or business opportunity arising from the services or this Website. My total liability for any claim is limited to the fees you paid me for the services giving rise to the claim in the three months before the claim arose. The services and this Website are provided "as is" without warranties of any kind, to the extent permitted by law.
13. Governing law
These Terms are governed by the laws of Pakistan. Before starting any formal proceeding, both parties agree to first try to resolve the dispute in good faith by contacting each other directly.
14. Changes to these Terms
I may update these Terms from time to time. The "Last updated" date at the top shows the latest version. Continued use of the Website or services after a change means you accept the updated Terms. Changes do not affect work already agreed in an approved proposal.
